Important: These Terms of Service govern your access to and use of ASBGiG. Please read them carefully.

Introduction

The following terms of service (these "Terms of Service"), govern your access to and use of the ASBGiG website and mobile application, including any content, functionality and services offered on or through ASBGiG.com or the ASBGiG mobile application (the "Site").

By using the Site, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service, ASBGiG's Payment Terms, Community Standards, and any additional standards, conditions, policies, guidelines and in-product disclosures (collectively, the "Terms"), which are incorporated herein by reference.

Agreement: If you do not want to agree to these Terms or our Privacy Policy, you must not access or use the Site.

Buyers: Users who purchase services on ASBGiG

Sellers/Freelancers: Users who offer and provide services

Pro Freelancers: Pre-vetted, hand-selected professionals

Platform Elements

Gigs® / Services: Services offered on ASBGiG

Orders: Formal agreements between Buyers and Sellers

Custom Offers: Exclusive proposals for specific requirements

Term Definition
Gig Page Where Sellers describe their Gig and terms, and Buyers can purchase
Seller Page Sellers' portfolio showcasing their services, skills, and experience
Gig Extras Additional services offered on top of the base Gig for extra cost
Gig Packages Services offered in different formats and price points
Hourly Contract Order based on hourly Custom Offer with agreed Hourly Rate
Milestones Breakdown of larger projects into manageable, paid phases

2. Platform Overview

Account Registration

Only registered users may buy and sell. You must provide accurate, complete information and maintain account security.

Pricing & Payments

Sellers determine their pricing. Buyers pay in advance to create Orders. All payments must go through ASBGiG.

Core Principles:

Age Requirement: Users must be at least 18 years old to create an account
Independent Contractors: Sellers are independent contractors, not employees
Ownership: Buyers typically receive full rights to delivered work (some exceptions apply)
Reputation System: Sellers gain levels based on performance metrics
Note: Services on ASBGiG start at a base price and may have minimum rate requirements. All transactions must occur through the ASBGiG platform.

3. Seller Responsibilities

Gig Creation
  • Create clear, accurate Gig descriptions
  • Set appropriate pricing and timelines
  • Include relevant Gig images and videos
  • Comply with all platform policies
Performance
  • Meet all delivery deadlines
  • Maintain high-quality standards
  • Provide excellent customer service
  • Build positive reviews and ratings
Prohibited Content
  • Illegal or fraudulent services
  • Copyright/trademark infringement
  • Adult or inappropriate content
  • Spam or deceptive listings
  • Academic dishonesty services

4. Buyer Responsibilities

Core Requirements:
  • Clear Communication: Provide detailed requirements for your project
  • Timely Responses: Respond to seller questions and deliveries promptly
  • Fair Reviews: Provide honest, constructive feedback based on actual experience
  • Legitimate Funds: Only use funds obtained from legal sources
  • Respect Guidelines: Follow all community standards and platform rules
No Circumvention Policy: Buyers may not offer or solicit payments outside of ASBGiG. Violations may result in permanent account disabling and liquidated damages of up to $10,000.

  • Discuss timelines and expectations
  • Ask questions before committing
During & After Order:
  • Use platform messaging for communication
  • Provide timely feedback and revisions
  • Release payments promptly upon completion
  • Leave honest, constructive reviews

6. User Conduct and Community Standards

Expected Behavior
  • Professional and respectful communication
  • Honest and transparent dealings
  • Timely responses and deliveries
  • Constructive feedback and reviews
  • Compliance with all platform rules
  • Respect for intellectual property rights
Prohibited Actions
  • Sharing contact information to circumvent platform
  • Harassment, bullying, or hate speech
  • Spamming or phishing attempts
  • Creating fake or misleading profiles
  • Multiple accounts to abuse the system
  • Buying or selling ASBGiG accounts
Content Moderation:
Reporting and Appeals Process
Reporting Violations:
  • Use the reporting tools on the platform
  • Contact Customer Support for assistance
  • Provide clear evidence of violations
  • Report in good faith with accurate information
Appeals Process:
  • Submit appeals within specified timelines
  • Provide supporting documentation
  • Follow the designated appeals procedure
  • Cooperate with investigation process

7. Ownership and Intellectual Property

General Rule: When purchasing a service on ASBGiG, unless stated otherwise, the Buyer receives all intellectual property rights to the delivered work upon full payment.
Seller Warranties

Sellers warrant that:

  • All delivered work is original
  • They have necessary rights and licenses
  • Work does not infringe third-party rights
  • They can legally transfer rights to Buyer
  • No previous sale of the same work
Buyer Rights

Buyers typically receive:

  • Full copyright ownership (unless specified)
  • Right to use work for intended purpose
  • For commercial use, may need additional license
  • Protection against infringement claims
  • Exclusive rights (unless otherwise stated)

8. Dispute Resolution

First Step: We encourage Buyers and Sellers to resolve conflicts directly through communication before escalating.

Customer Support

Contact ASBGiG Support for mediation assistance

Formal Resolution

Escalate to arbitration or legal proceedings if needed

Arbitration Agreement (US/Canada Users)

Important: If you are a user residing in the United States or Canada, you agree to resolve disputes through binding arbitration, waiving your right to:

  • Jury trials
  • Class action lawsuits
  • Class-wide arbitration
  • Consolidated claims with other users

You may opt out of arbitration within 30 days of agreeing to these Terms by emailing legal@asbgig.com

9. Limitations of Liability

Disclaimer: ASBGiG provides the platform but does not guarantee the quality, legality, or accuracy of services offered by Sellers.
ASBGiG's Role:
  • Platform provider, not employer of Sellers
  • Does not pre-screen all content or services
  • Not responsible for user-to-user interactions
  • Does not guarantee specific results
  • Not liable for third-party actions
User Responsibilities

Users are responsible for:

  • Vetting Sellers before purchasing
  • Conducting due diligence
  • Verifying credentials and portfolios
  • Understanding scope and deliverables
  • Protecting their own data and systems
Indemnification:

You agree to indemnify and hold ASBGiG harmless from any claims arising from:

  • Your violation of these Terms
  • Your use of the platform
  • Content you upload or create
  • Your interactions with other users
  • Any third-party claims related to your activities

10. General Terms

Changes to Terms

ASBGiG may update these Terms periodically. Continued use after changes constitutes acceptance.

Major changes will be notified via email or platform notification.

Governing Law

For US/Canada users: Governed by laws of the State of New York.

For other jurisdictions: Local applicable laws apply.

Additional Provisions
Severability

If any part is unenforceable, other parts remain valid

Assignment

ASBGiG may transfer rights; users may not without consent

Entire Agreement

These Terms constitute the complete agreement
